Through this purchase, TSI will boost its professional services offerings to meet the growing demand for SAP R/3 integration. In addition, the acquisition directly addresses the needs of more than 200 SAP customers now using TSI's Mercator integration software with legacy systems, data warehouses, and Web applications for software integration.
Under the terms of the agreement, TSI said it will issue shares of its common stock for all of the issued and outstanding stock of SCP. TSI said it intends to account for the transaction as a purchase.
TSI said it will incorporate SCP's expertise to support the demand for integration services and training within its SAP R/3 customer base and among its third-party software provider and systems integrator alliance partners that embed or resell Mercator in the R/3 market. The combined organization will employ more than 300 people worldwide, TSI said.
"SCP's consultants bring real-world experience delivering end-to-end integrated solutions for SAP R/3 and extensive knowledge of R/3 applications at the functional level," Connie Galley, TSI's president and chief executive, said in a statement. "With SCP joining TSI, we improve our capacity to fully leverage their investment in R/3 and add business process level integration capabilities."
