SPC stockholders will receive .26805 shares of Allegro common stock for each share of SPC stock. SPC stockholders and vested option holders will hold 45 percent of the outstanding shares and vested options of Allegro. The transaction should be completed by December 31. SPC will become a subsidiary of Allegro and continue to operate under its name; key officers of SPC will become officers of Allegro.
