Chip-software firm Synopsys to buy rival

Plans to settle all outstanding litigation against Nassda and certain Nassda officers, directors and employees.

Synopsys, a maker of software used in the design of semiconductors, said Wednesday that it will buy software maker Nassda in an all-cash transaction valued at about $192 million.

Synopsys said it will pay $7 a share for Nassda. Synopsys plans to settle all outstanding litigation against Nassda and certain Nassda officers, directors and employees. In addition, on closing the deal, Synopsis said that Nassda officers, directors and employees who are defendants in the litigation will make settlement payments to Synopsys totaling $61.6 million.
