xp installation problems freezes at startup

i had ordered a barebones kit with an asus motherboard however i thought it was defective returned for another but i am still having the same issue.. so here is my problem... windows xp freezes at startup and can only boot into safe mode (not able to boot to safe mode w/networking either) each time i attempt to do a clean install i am able to load all the drivers except for 1 pci driver & 1 unknown device which i cannot find or recognize even when i diable it it still freezes. i load and reload all the drivers and i see that there are no errors they are all working properly.. but xp still freezes i tested all my hardware individually . i dont see anyone with the same issue online while researching so i really need help to find the correct solution, device and drivers, i am really hoping it is not a defective cpu.

the OS is windows XP home edition version 2002

i have installed these hardware

motherboard - msi k9n6gm am2 socket (switched w/ASUS mobo same issue so mobo is tested ok )
amd athalon 64 X2 4400+
crucial ram DDR2 533MHz 1024MB (i have 2 each were individually tested ok)
cd-rw and dvd rom both work ok
Seagate Barracuda sata 80 GB ata hd ( i also attempted swap with a IDE hard drive had the same issue so the hd is tested ok not a hd issue )

On My Last MSI Board, I Needed To Use Updated...

...chipset drivers which I downloaded from the Intel site. The motherboard/chipset drivers on the original CD didn't find all PCI devices correctly here either. Although my processor was an Intel, the updated driver fixed everything up.

Since your processor is an AMD, try visiting the AMD site and downloading the most recent chipset driver for your chipset.. (You might also try the MSI site but in my case, the provided driver was the same as the one on the CD which came with the board.)

ok..update,, i download pc wizard from another pc but i cannot install it into this pc since im in safe mode..im thinking maybe it doesnt detect the hardware since i dont have an updated service pack?? . i also thought of installing xp service pack 1 but i need to find the components for sp1 windows doesnt have a list or its jumbled with other service pack ( like 2 and 3) so i have no idea which ones i need. since its a clean install i dont know if i can install the service pack since i cannot activate windows because im in safe mode,, another option i have is downloading my cpu chipset but i need sp1 to do it.. i think the unknown device is REALTEK audio driver or media driver but i have no idea what file to upload as far as drivers go,, the manufacture cd only goes so far,but doesnt provide the driver unless i go thru setup which i cannot do in safe mode... its like im stuck between a rock and a hardplace

Download Service Packs...

As I stated earlier, you need some of the more basic drivers which included the chipset and probably your SATA HD drivers which should have been installed DURING the operating system install.

Generally, you'll want to install the service pack while in "normal" Windows. I don't think they will correctly install while in Safe Mode...so, at this point, I would try reinstalling Windows again, at least so you can get to a normal Windows XP boot.

If you need them, the full downloads for the service packs are at the links below.. I've copied them to CDs for use whenever needed but you should be able to download them on a friend or family member's computer, burn them to a disc and install them on your computer:
