windows xp will not shut down normally

I am running Windows XP Pro 32 bit with Service Pak 3 and whenever I attempt to shut down, a window pops up that says End Program rundll32.exe and then goes on to say that if I click on "end now" I could lose data. It used to shut down without having to click on "end now". Is there a way to correct this problem?

This looks way beyond my scope to fix this so I will just have to put up with the annoyance. Thanks for your input.
