Hallo!
I had that problem a while back. IE6 wouldnt update to IE 5...The problem solved it self cause I had to reinstall Me after a hard disc crash. After the reinstall of Me it worked. I guess that the "old" IE5 that I had on my pc had a corrupt file so it wouldnt let IE6 in...sort of. I hope you understand what I mean. Maybe try to reinstall IE5 before update?
Regards...

Short of an OS re-install which stresses users, I find that if I want to move a machine to some version of IE, I can download it in one piece from:

http://browsers.evolt.org/

Try that first.

If it fails to install from there, I have a secret weapon to wipe out IE and Outlook Express. WARNING, E-MAILS and FAVORITES VANISH! You should back such up and be sure you can get them back first.

After you have IE 6 ready to install (I'd get IE 5.5 as a backup!) then go to http://www.litepc.com/ieradicator.html and run that, install your IE of choice.
