I see a virus or other malware does this. Try Grif's advice at http://forums.cnet.com/5208-6142_102-0.html?messageID=3105025

I have Windows XP on my Dell Inspiron B130 laptop. Yesterday I ran a full scan to get rid of some spyware. Now suddenly, my task manager is disabled. The window says it was disabled by the Administrator, but I didn't do it! How do I get it enabled again? Gotta have Task Manager!
