Saving .txt file changes..

I'm attempting to copy some contents from a .txt file that I am trying to paste and overwrite onto another .txt file, when I try to save the changes, I am notified that Windows cannot create the .txt file and when I try to save it, I get this:

'This file exists with a read only attribute,
select different file name'

I cannot change the file name as file name changes will not be accepted by the application/program I'm trying to run. I'm unsuccesful with either Notepad or Wordpad. I'm only adding one paragraph to a page sized text file, how can I get Windows to accept the modification of a .txt file?? Others have changed this particular file, I am wondering if I have not enabled some setting(s) in XP.

Right click filename and deselect read only from attributes.
