Microsoft Security Update fails to install

I successfully dnld'd and installed 2 of 3 of the July updates.

I have updates to MS .Net Framework 1.1, 2 updates May issue.
Update KB928365 for MS .Net Framework 2.0.

MS .Net Framework 1.1 update dnld's but fails to install KB928366.

OS: Windows XP Home SP2
Mem: 1024mb
CPU: 2.93mhz
HDA: 89.4gb NTFS free space

I have made several attempts to dnld & install KB928366, each attempt followed by a restart.
Error Code: 0X643 provides me no useful info.
MS KBase ,FAQ, etc fail me also.

Any suggestions?
