http://www.voip-info.org/wiki/view/SIP shows that RFC 3261 is a good start for your research about protocols.

A big advantage for the consumer is that they don't need to pay for a separate POTS subscription if they have an Internet connection.
A big advantage for a company is that they only need to invest in a wired Ethernet or wireless WiFi infrastructure (that they already have to connect the computers) and not in a separate analog network for phones.
