Does your motherboard ...

support both? Then it's interchangeable. It doesn't? Then I wouldn't try it.

Now get your motherboard manual and see.

I found this on the site of some shop that sells it.

"Note: Not all Pentium 4 Motherboards support this Prescott CPU. Please check Motherboard Mfg web site for detail CPU support information."

That's a clear warning, isn't it?
