I'm not sure from reading your question whether it's possible but try replacing this file on the system as described in the article, "[Q822800]."

A clean install of XP does not involve (you) the installer formatting the drive. In a proper install, you use the XP CD and it's tools to partition and the XP installer will format the drive for you.

When I see/hear/read a plea/call/post like yours, it's too often the installer (you?) has some old knowledge about installing Windows 98 that they are using.

Here's a pictorial of a XP install that shows no use of FDISK or FORMAT -> http://www.blackviper.com/Articles/OS/InstallXPPro/installxppro1.htm

First, thank you for taking your time answering to my message.i first booted with a 98 disk, then did fdisk, then when booting from xpcd i get this errormessage about the ntfs.sys
can it be hw-problem?

Why the 98 disk?

As you see in the previous supplied link, use of the 98 boot disk and certainly FDISK/FORMAT is not required.

In fact, doing such may lead to install problems.

Use the native tools.

boot up with your Win98 disk
run fdisk
delete ALL partitions
remove floppy
press reset
press (?) to enter BIOS setup
set BIOS to boot from CD
insert XP CD
press reset
boot from XP Cd
install
.
.
enjoy

I see a pattern...

As long as you don't try the install with nothing but a blank hard drive (no partitions, no formatting) and just the XP CD, it's hard to tell if it's just you leading off with the wrong foot or you have a hardware issue.

In closing, I don't see any mention of the hardware, it's BIOS updates and more.

Why not?

I thinks.
You will reboot with start up disk for run fdisk program, delete non-FAT32, creat new drive and format this drive.
Set up windows XP again.
