There are many reasons and methods a device may need a new OS installed. The question is unclear, but my guess is it needs an update to a newer version, which the manufacturer may not have made available yet. Some companies are lousy about providing updates. Other alternatives are developers' sites such as XDA developers, custom roms such as Cyanogen, and even other alternatives such as Linux or Ubuntu. It depends on how much independent development has been done for that particular device. Of course, Android 4.3 has not been released to the general public yet either.
