Access Denied

Hey, I am having a problem which really ticks me off. I am modifying the boot screen of Vista and everything is set to go, all I have to do is delete the current winload.exe.mui file in the %systemroot%\system32\Boot\en-us directory and replace it with my own modified version, simple right, wrong. Vista is not allowing me to do anything to the winload.exe.mui file already in place, I get a return command of access denied. Of course their is no Admin user in Vista, but I am a system admin running with Admin permissions.

I have attempted to modify the file with UAC off, unfortunately no luck. Any thoughts? Why wouldn't I be able to access and modify files in the Windows directory on an OS I bought. Now don't take me as a MS basher, on the contrary I am the closest thing to a MS fanboy, but this is riddiculuous.
