CNET "Power of Ten" SWEEPSTAKES OFFICIAL RULES

Sponsored by: CNET Networks, Inc. ("CNET"), 235 Second Street, San Francisco, California 94105. (the "Sponsor").

1. Eligibility: The "Power of Ten" Sweepstakes (the "Sweepstakes") is open to legal residents of the fifty (50) United States and District of Columbia, who are at least eighteen (18) years of age as of date of entry and have access to the internet and a valid email address as of August 12, 2005. Employees and their immediate families (spouse, parent, sibling, child and its respective spouses) and those living in their same households, whether or not related, of Sponsor, and its parent, affiliates, subsidiaries, and advertising and promotion agencies are not eligible to enter or win a prize. Void where prohibited. All applicable federal, state and local laws and regulations apply.

2. How to Enter: Between 8:00 a.m. Pacific Time ("PT") on August 12, 2005 and 4:59 p.m. PT on October 1, 2005 PT (the "Entry Period"), you can enter by visiting http://ten.cnet.com and following the directions to complete and submit the online entry form. Entrant must have CNET.com cookies enabled to properly complete the online entry form. By submitting the entry form, you understand that you are registering with CNET.com (registration is free) and that you can opt-out at any time. Entries must be received by 4:59 p.m. PT on October 1, 2005 to be eligible. Limit one (1) entry per person/email address per day. Entries generated by script, macro or other automated means are void and the participant is disqualified from winning any prizes. All entries become the property of the Sponsor.

3. Drawings: Potential winners will be randomly selected on or about October 1, 2005 from among all eligible entries received for the entire Entry Period under the supervision of Sponsor. Odds of winning a prize depend on the number of eligible entries received.

4. Winner Notification: Potential winners will be notified within ten (10) business days following the drawing date by email, phone and/or mail and may be required to execute and return an affidavit of eligibility and liability and, unless prohibited, publicity release within ten (10) days of attempted notification. In the event of noncompliance within this period, with these Official Rules or in the event Sponsor is unable to contact any potential winner within a reasonable time period or a prize notification or prize is returned as undeliverable, prize will be forfeited and, at Sponsor's discretion, awarded to an alternate winner.

5. Prizes: One (1) Grand Prize: Winner's choice of Five Thousand Dollars ($5,000) in cash (to be awarded in the form of a check) or one CNET Editors' Choice product each year for ten years (Maximum Approximate Retail Value ("ARV") of a CNET Editors' Choice product: $1,000, each). Maximum ARV of Grand Prize: $10,000. Ten (10) First Prizes: One (1) CNET Editors' Choice product selected by Sponsor. ARV: $1,000 each. Maximum Total ARV of all prizes: $20,000. CNET Editors' Choice products are the CNET editors' picks for the best consumer electronic products. All federal, state and local taxes and any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded are the sole responsibility of the winner. Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Winner may make no substitutions, cash redemptions or transfer of prize. Sponsor reserves the right to substitute a prize of comparable or greater value, at its sole discretion. All prize details are at the sole discretion of Sponsor.

6. General Conditions: By participating, entrants agree (i) to abide by the terms of these Official Rules and by the decisions of Sponsor and judges which are final and binding on all matters pertaining to this Sweepstakes; and (ii) to release and hold harmless Sponsor, and its parent, affiliates, subsidiaries, divisions, advertising and promotion agencies, and each of their respective officers, directors, employees and agents (collectively, the "Released Parties") for any liability whatsoever for any injuries, losses, or damages of any kind resulting from participation in the Sweepstakes or the acceptance, possession, or use of a prize. Except where prohibited by law, acceptance of a prize constitutes each winner's consent to the use by Sponsor and its designees of his/her name, city and state of residence and likeness for advertising and promotional purposes in any and all media now or hereafter known throughout the world in perpetuity, without further compensation, notification or permission.

7. Internet: Entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. Authorized account holder is deemed as the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Potential winner may be requested to provide Sponsor with proof that he/she is the authorized account holder of the e-mail address associated with the potentially winning entry. If for any reason this Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. In the event the Sweepstakes is terminated, Sponsor reserves the right to conduct a random drawing to award the prizes from among all eligible, non-suspect entries received up to time of such action. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for late, lost, stolen, incomplete, gabled, inaccurate, delayed, undelivered or misdirected entries, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any Website, or any combination thereof, or for any other error of any kind whether human, mechanical, network, electronic, technical, typographical, printing or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. Released Parties are also not responsible for any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

7. USE OF INFORMATION: By entering this Sweepstakes, you agree and consent that any information you provide upon entering may be used by Sponsor in accordance with its Privacy Policy. CNET Networks' privacy policy can be found at: http://www.cnet.com/html/aboutcnet/editorial/privacy.html. If you do not want your information used in this manner do not enter this Sweepstakes.
